These Terms of Service ("Terms") govern your access to and use of the Codex Vitae websites, applications, digital vaults, partner portal, and related services (collectively, the "Services") provided by Codex Vitae, Inc. ("Codex Vitae," "we," "us," or "our").

By creating an account, accessing the Services, or using any features of the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Services.

1. Overview of Services

Codex Vitae provides digital legacy management tools designed to help individuals organize, preserve, and securely manage their digital materials and life documentation.

The Services may include, but are not limited to:

  • Encrypted digital vaults for storing files, documents, photos, videos, and other digital media
  • Tools for organizing digital memories and metadata
  • AI-assisted narrative and memory organization tools
  • Directive systems allowing users to create instructions for digital legacy management
  • Automated workflows designed to execute posthumous directives
  • Administrative tools supporting estate planning, professional partners, and institutional workflows
  • Secure storage and encryption systems designed to protect user information
  • Automated safety and compliance systems designed to detect illegal material and protect platform integrity

Codex Vitae is a technology platform and does not provide legal, financial, medical, therapeutic, or psychological advice.

2. Eligibility

You may use the Services only if you:

  • Are at least eighteen (18) years of age
  • Are capable of entering into a legally binding agreement
  • Provide accurate and truthful account information
  • Are not prohibited from using the Services under applicable law

Professional partners, including attorneys, estate planners, hospice organizations, or institutional users must certify that:

  • They are authorized to act on behalf of their organization or clients
  • They comply with applicable professional and regulatory requirements

3. Account Registration and Security

To access certain Services, you must create an account.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Ensuring that your account information remains accurate
  • All activities that occur under your account

You must immediately notify Codex Vitae if you believe your account has been compromised.

Codex Vitae may suspend or terminate accounts if we detect unauthorized access, security threats, or violations of these Terms.

4. User Content

"User Content" refers to all materials uploaded, transmitted, stored, or generated within the Services by users, including:

  • Files, photos, videos, and documents
  • Directives or digital instructions
  • Written notes or narrative information
  • Metadata associated with vault content
  • Information shared with authorized representatives or professional partners

Users retain ownership of their User Content.

By uploading User Content, you grant Codex Vitae a limited license to:

  • Store encrypted versions of your content
  • Process metadata required to operate the Services
  • Perform automated compliance screening
  • Execute directives authorized by you
  • Maintain system security and integrity

Codex Vitae personnel do not routinely access vault contents.

5. Content Safety and Moderation

To maintain a safe and lawful platform, Codex Vitae operates automated safety and compliance systems that analyze uploaded content for illegal material or policy violations.

These systems may include technologies such as:

  • Perceptual hash matching systems designed to detect known illegal imagery
  • Automated visual moderation classification systems
  • Machine learning and AI-assisted moderation analysis
  • Platform abuse detection and risk scoring

Content may be classified into categories including:

  • Allow
  • Flag for Review
  • Quarantine
  • Block

Certain safety decisions cannot be overridden by user preferences or vault-level configurations.

Users agree not to interfere with, circumvent, or attempt to disable safety systems.

6. Illegal Content and CSAM Reporting

Codex Vitae maintains a zero-tolerance policy for child sexual abuse material (CSAM) and other illegal content.

Under U.S. law, including 18 U.S.C. §2258A, online service providers must report apparent CSAM to the National Center for Missing & Exploited Children (NCMEC).

When suspected CSAM is detected:

  • The file will be blocked
  • Associated metadata may be preserved
  • A report may be submitted to the CyberTipline
  • The associated account may be suspended

Codex Vitae cooperates with lawful investigations when required by applicable law.

7. AI-Assisted Features

The Services may incorporate AI-assisted systems designed to help organize metadata, interpret digital materials, and generate narrative summaries.

These systems may include proprietary tools such as:

  • SortiumOrana™
  • CodexNarrum™
  • CodexGraph™
  • DirectiveOS™

Users acknowledge that:

  • AI outputs may contain errors or inaccuracies
  • AI-generated narratives are interpretive in nature
  • Users should review generated outputs before sharing

User content is not used to train external AI models unless explicitly authorized.

8. Prohibited Conduct

Users agree not to:

  • Upload illegal or harmful material
  • Store child sexual abuse material
  • Upload malware or exploit code
  • Attempt unauthorized access to platform infrastructure
  • Reverse engineer or decompile platform systems
  • Interfere with moderation systems
  • Misrepresent identity or professional credentials

Violations may result in suspension, termination, reporting to authorities, or legal action.

9. Payment, Subscriptions, and Billing

Certain features may require a paid subscription.

Users agree to:

  • Pay applicable subscription fees
  • Provide valid payment information
  • Authorize recurring billing where applicable

Payments are processed through third-party payment processors such as Stripe.

Except where required by law, subscription fees are non-refundable once a billing cycle begins.

10. Professional and Institutional Accounts

Professional users may include attorneys, estate planners, care providers, or institutional partners.

Professional users must:

  • Maintain accurate credentials
  • Act only within authorized access granted by clients
  • Comply with applicable laws and ethical rules

Codex Vitae does not supervise professional advice provided through the platform.

11. Data Security and Encryption

Codex Vitae employs multiple security controls designed to protect user information, including:

  • Encrypted storage systems
  • Secure HTTPS communications
  • Access control mechanisms
  • Monitoring and audit logging
  • Intrusion detection systems

Infrastructure providers may include cloud hosting providers, database providers, and object storage providers.

These systems support encryption, secure authentication, and monitoring capabilities.

12. System Availability and Performance

The Services may experience interruptions due to:

  • Infrastructure maintenance
  • Software updates
  • Security patches
  • Third-party service outages

Codex Vitae is not liable for temporary downtime or service interruptions.

13. Termination of Access

Codex Vitae may suspend or terminate accounts if:

  • Users violate these Terms
  • Fraud or abuse is detected
  • Required by law
  • Platform integrity is threatened

Users may delete accounts at any time.

Certain records may be retained when required by law.

14. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Codex Vitae makes no warranties regarding:

  • Uninterrupted service
  • Error-free operation
  • Accuracy of AI outputs

Use of the Services is at the user's own risk.

15. Limitation of Liability

To the fullest extent permitted by law, Codex Vitae shall not be liable for:

  • Indirect or consequential damages
  • Loss of data or profits
  • Service interruptions

Total liability shall not exceed the fees paid by the user during the previous twelve (12) months.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware.

Disputes must first be attempted to be resolved informally.

If unresolved, disputes will be resolved through binding arbitration in Delaware.

Either party may bring qualifying individual claims in small claims court.

17. Modifications to the Terms

Codex Vitae may update these Terms periodically as the platform evolves.

Material changes will be communicated through email, in-app notices, or updates to the website.

Continued use of the Services constitutes acceptance of updated Terms.

19. Death Verification and Executor Authority

Codex Vitae may require verification of a user's death before executing posthumous directives.

Verification may include documentation such as death certificates or legal authorization from an executor or representative.

Codex Vitae may delay execution of directives if disputes arise regarding authority.

20. Directive Execution and Platform Liability

Codex Vitae provides tools enabling users to create digital instructions.

Codex Vitae does not act as an executor, trustee, or fiduciary.

Users remain responsible for ensuring their directives comply with applicable law.

21. Platform Custodial Status

Codex Vitae provides a technology platform and storage infrastructure but does not act as a legal custodian of digital assets.

Users retain ownership and responsibility for vault contents.

22. Narrative Interpretation Disclaimer

AI-generated narratives or summaries are interpretive tools and may contain inaccuracies.

These outputs are intended for storytelling and memory organization and should not be considered factual biographies.

23. Safety Enforcement and Platform Discretion

Codex Vitae reserves the right to restrict access, remove content, or suspend accounts to maintain platform integrity or comply with law.

24. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

25. Survival of Terms

Sections relating to liability, moderation enforcement, dispute resolution, and compliance obligations survive termination of accounts.

26. Storage Use and Platform Abuse

The platform may not be used as a public file hosting or mass distribution service.

Codex Vitae may impose limits on storage usage, upload frequency, or bandwidth consumption.

27. Service Evolution and Feature Changes

Codex Vitae may add, modify, or discontinue features to improve functionality, security, or compliance.

28. Encrypted Storage and Automated Compliance Processing

Vault systems are designed to limit human access to user files.

Automated systems may process uploaded files for security, compliance, or operational integrity.

29. Class Action Waiver

All disputes must be brought on an individual basis.

Users waive participation in class or representative actions against Codex Vitae.
